TERMS AND CONDITIONS OF THE AUCTION
1. PRELIMINARY PROVISIONS
1.1. Bid and Grow Corp., a company duly incorporated in Toronto, Canada, Business Number 755996758, with its registered address at 151 Yonge Street, 11th Floor, Toronto, Ontario, Canada, M5C 2W7, operating as Bid & Grow Auctions on the Platforms, serves as an intermediary between consignors (owners of Lots) and Winning Bidders to organize Bidding for Lots consigned to the Auctioneer for sale.
1.2. The Auctioneer guarantees the confidentiality of Bids and personal data of Bidders in accordance with GDPR and applicable Canadian data protection laws, as outlined in the Privacy Policy available on the Platform.
1.3. Binding Nature of These Terms
By registering for and participating in an Auction, Bidders expressly agree to be bound by these Terms and Conditions of the Auction as well as the Conditions of Sale.
2. DEFINITIONS
Auction – A public online sale of Lots organized by the Auctioneer through Bidding.
Auctioneer – Bid and Grow Corp., as identified in clause 1.1 above.
Bid – An offer of a price for a Lot at the Auction.
Bidder – An individual or company registered on the Platform and participating in the Auction.
Bidding – The process through which the Bidder offers a price for a Lot.
Buyer – Winning Bidder to whom an invoice has been issued.
Buyer’s Premium – A fee of 20% charged to the Winning Bidder in addition to the Hammer Price of a Lot.
Catalog – A document created by the Auctioneer containing descriptions of Lots offered at the Auction.
Delivery Date – the date on which the Lots: i) are actually delivered according to tracking details (for tracked delivery options), or ii) are deemed to be delivered according to the shipping company’s standard delivery period (for untracked delivery options).
Hammer Price – The final winning Bid for a Lot at the Auction.
Lot – An individual coin, banknote, or token, or a mix or set of coins, banknotes, or tokens available for Bidding.
Platform – A website or online resource used for Bidding, including OneBid at https://one.bid/en.
Purchase Price – The total amount due, including the Hammer Price, the Buyer’s Premium, and any additional charges (e.g., insurance, shipping, payment processing fees, taxes, duties etc.).
Starting Price – The initial price of a Lot when Bidding begins.
Winning Bidder – The Bidder who offers the highest Bid at the Auction.
3. LOTS
3.1. The Auctioneer determines the date, Platform, and Catalog for each Auction.
3.2. All Lots are guaranteed to be authentic unless otherwise specified in the Catalog.
3.3. Descriptions of Lots are created in good faith based on expert assessment. However, condition ratings, other than grades from an accepted grading authority, are subjective and may differ from the Bidder’s assessment.
3.4. Lot descriptions may be updated before Bidding begins.
3.5. Starting Prices are included in the Catalog but may be adjusted before the Auction.
3.6. The Auctioneer reserves the right to withdraw any Lot without notice.
3.7. If a Lot is certified by NGC, PCGS, or another grading service, the Auctioneer is not responsible for differences in opinion regarding the grading, surface quality, or strike of the Lot in question.
4. BIDDER REGISTRATION AND ELIGIBILITY
4.1. By registering for and participating in the Auction, the Bidder affirms that they are legally competent and acknowledge their full acceptance of these Rules without reservation.
4.2. Each Bidder is required to provide true, accurate, and complete identity details during the registration process. The Auctioneer reserves the right to verify the identity of any Bidder prior to granting bidding privileges.
4.3. The Auctioneer may, at its sole discretion, request identity verification documents, including but not limited to a passport, national identification card, or driver’s license. Failure to provide such documents upon request may result in the restriction, suspension, or denial of the Bidder’s access to the Auction.
4.4. Upon successful registration, a newly registered Bidder shall be assigned a default spending limit of USD 300, which may be identified as a credit limit on some Platforms. Any Bidder seeking an increase in their spending limit must submit the required identity verification documents. At the Auctioneer’s discretion, the Bidder may also be required to provide a refundable deposit equal to ten percent (10%) of the requested limit. The Auctioneer may waive this deposit requirement for Bidders with a demonstrated history of successful participation in previous Auctions or verified references.
4.5. Any deposit provided pursuant to Section 4.4 shall be refunded in full within five (5) business days following the conclusion of the Auction, provided that the Bidder has either placed no Bids or has completed all purchases in full. If a Bidder wins a Lot but fails to complete the purchase, the Auctioneer reserves the right to forfeit the deposit as a penalty for non-performance.
4.6. Deposits shall be refunded net of any applicable banking or credit card processing fees incurred by the Auctioneer. Deposits made via credit card (processed through Stripe) shall be subject to a deduction of 3.7% from the refund amount. Deposits made via bank transfer (SEPA, SWIFT, ACH, or equivalent) shall be refunded less any banking fees imposed by the sending or receiving financial institution. Refunds shall be processed within seven (7) days after the Auction’s conclusion.
4.7. A Bid submitted during the Auction constitutes a legally binding offer to purchase the Lot at the submitted price. Once a Bid has been placed, it may not be canceled, withdrawn, or modified under any circumstances.
5. BIDDING RULES
5.1. Bidding is conducted by the Auctioneer on an online auction Platform in real time.
5.2. The Auctioneer applies the following Bid increments in USD:
1.00–50.00: 2
50.01–200.00: 5
200.01–1000.00: 10
1000.01–2000.00: 20
2000.01–5000.00: 50
5000.01–10000.00: 100
10000.01 and above: 200
5.3. A Bidder may place Bids either during the live Auction or as a pre-bid prior to the Auction. Pre-bids are automatically recorded and carried forward into the live Auction.
5.4. If two identical Bids are submitted, with one originating from pre-bidding and the other placed during the live Auction, the earlier submitted bid shall take precedence.
5.5. Any Bid placed during the live auction that exceeds a pre-bid shall override the pre-bid. The Auctioneer reserves the right to adjust bid increments as necessary to facilitate a seamless transition between pre-bidding and live Auction bidding.
5.6. In the event of a bidding conflict caused by a platform synchronization delay or other technical issue, the Auctioneer’s decision shall be final. The Auctioneer retains full discretion to reopen bidding, accept the Bid that best aligns with the Auction's integrity, or take any other necessary action to resolve the conflict in a fair and equitable manner.
5.7. All Bids placed through a registered account are binding and final. A Winning Bidder may not retract a bid by claiming it was placed in error or by an unauthorized party unless there is clear and verifiable evidence of account compromise.
5.8. The Auctioneer’s Platform tracks device and IP address activity for security and verification purposes. If a Bid is placed from the same device, network, or IP address as previously accepted Bids, it will be presumed valid.
5.9. A Bidder that wishes to dispute a Bid shall notify the Auctioneer within 24 hours of the Bid placement, providing verifiable evidence that the Bid was unauthorized. The Auctioneer retains full discretion in determining the validity of the claim.
5.10. The Bidder as the account holder is solely responsible for all Bids placed through their account, including those made by third parties with access to their device or login credentials. The Auctioneer is not responsible for unauthorized Bidding unless there is conclusive evidence of system error or hacking.
5.11. Bidders are responsible for keeping their account credentials secure. Sharing login details or using public and/or shared devices for bidding increases the risk of disputes and is strongly discouraged.
5.12. The Winning Bidder shall be deemed to have entered into a legally binding purchase agreement upon winning a Lot. Upon issuance of the invoice, the Winning Bidder shall be referred to as the Buyer and assumes all rights and obligations related to the purchase.
5.13. Any attempt to manipulate the Bidding process, including but not limited to shill bidding, bid rigging, or coordinated bidding intended to distort Auction results, is strictly prohibited. The Auctioneer reserves the right to suspend or terminate the account of any Bidder found to be engaged in such activities. Furthermore, the Auctioneer may report any such behavior to OneBid and other auction platforms, as well as relevant authorities, if deemed necessary.
CONDITIONS OF SALE
6. PAYMENT TERMS. NON-PAYMENT AND BLACKLISTING
6.1. The Purchase Price for each Lot consists of the Hammer Price, a Buyer’s Premium of twenty percent (20%), and any applicable additional fees, including but not limited to shipping costs, insurance (if requested), bank fees, credit card processing fees, and any applicable taxes or import duties.
6.2. Invoices shall be issued within twenty-four (24) hours following the conclusion of the Auction. The Buyer (the Winning Bidder that has been issued an invoice) is required to remit full payment within fourteen (14) calendar days from the invoice date. Failure to complete payment within this period shall constitute a breach of these Conditions of Sale.
6.3. Payment must be made using one of the following accepted methods:
Bank transfer (SEPA, ACH, Interac, SWIFT).
Credit card payment, subject to a processing fee of 3.7% of the total transaction amount.
6.4. If payment is not received within the fourteen (14) day payment period, the Auctioneer shall issue a payment reminder to the Buyer.
6.5. If the Buyer fails to submit full payment within seven (7) days after the payment reminder date, the Auctioneer reserves the right, at its sole discretion, to take any or all of the following actions:
Charge late fees or interest at a rate of one percent (1%) per day on the outstanding amount.
Cancel the winning bid and relist the Lot for sale in a future auction.
Report the defaulting Buyer to OneBid and other online auction Platforms, which may affect the defaulting Buyer’s reputation and ability to participate in future Auctions across multiple Platforms. Such reports shall be made within fourteen (14) days of the Buyer’s failure to make full payment.
Restrict or permanently revoke the Bidder’s ability to participate in future Auctions conducted by the Auctioneer.
Require prepayment or a refundable deposit for any future bidding privileges.
Initiate legal proceedings or engage a debt collection service to recover outstanding amounts.
6.6. A Buyer who fails to respond to payment requests within twenty-one (21) days after the issuance of an invoice may be deemed to have forfeited their Bid. The Auctioneer may, at its discretion, cancel the Bid and resell the Lot without further notice to the Buyer.
6.7. If the Buyer was required to provide a deposit pursuant to the Auctioneer’s spending limit policies, and subsequently fails to complete payment, the deposit may be forfeited as a penalty for non-payment.
7. SHIPPING, DELIVERY AND CUSTOMS RESPONSIBILITIES
7.1. The Auctioneer shall arrange for the shipment of Lots within seven (7) business days after full payment has been received.
7.2. The Auctioneer offers the following shipping options, each subject to its respective tracking, signature, and return policies:
(a) DHL – Tracking (available), Signature (available), Returns (available).
(b) Canada Post – Tracking (available/unavailable), Signature (available/unavailable), Returns (available).
(c) PostNL and APC (through Stallion Express) – Tracking (available), Signature (unavailable), Returns (unavailable).
7.3. Transfer of Ownership and Risk. Ownership of the Lot transfers to the Buyer at the moment the Lot is handed over to the selected carrier, as confirmed by the carrier’s tracking system and/or printed receipt. Once ownership has transferred:
(a) The Buyer assumes all risks associated with the Lot, including loss, theft, or damage during transit, subject to the coverage provided by the selected shipping method.
(b) The Auctioneer shall not be liable for any loss, damage, or non-delivery unless the shipment is insured and a valid claim is accepted by the shipping provider.
(c) If a shipment is returned to the sender due to an incorrect address, non-acceptance, or failure to collect, ownership remains with the Buyer, and additional shipping costs will apply for re-dispatch.
7.4. Buyer’s Responsibility for Accurate Contact and Shipping Information
(a) The Buyer is responsible for ensuring that their shipping address, email, and phone number are correct and up to date before placing a Bid.
(b) The Auctioneer shall not be responsible for delivery failures, lost packages, or communication issues caused by incorrect information provided by the Buyer.
(c) If a Lot is shipped to an incorrect address due to the Buyer’s mistake, the Auctioneer is not liable for any loss or delays.
(d) If a package is returned to the sender due to an incorrect address, the Buyer must:
(i) Pay for reshipping to the correct address.
(ii) Cover any additional fees charged by the carrier for return handling.
(iii) Accept any delays in delivery.
(e) If a package is delivered to an unintended recipient (e.g., an old address), the Auctioneer is not responsible for recovering the package or issuing refunds.
7.5. Non-Responsive Buyers and Undeliverable Shipments
(a) If the Auctioneer is unable to contact the Buyer due to an invalid email or phone number, the invoice and shipping will be delayed until valid contact information is provided.
(b) If the Buyer does not respond within [X] days of the Auctioneer’s attempt to contact them, the Auctioneer may:
(i) Cancel the order and relist the Lot.
(ii) Blacklist the Bidder from future auctions.
7.6. Delivery to Shared Addresses. The Auctioneer shall not be responsible for lost or misplaced shipments delivered to coworking spaces, offices, hotels, or other shared addresses. Once the carrier confirms delivery, the Buyer assumes full responsibility for securing the package. Any disputes regarding receipt must be resolved between the Buyer and the recipient at the designated address.
7.7. Undeliverable Packages
(a) If a package shipped via DHL or Canada Post is undeliverable, it will be returned to the sender, if applicable.
(b) If a package shipped via PostNL or APC is undeliverable, it will be destroyed after failed delivery attempts in accordance with the destination country’s postal policies.
7.8. No Tracking, No Updates Policy
(a) If the Buyer selects a shipping method that does not include tracking, the Auctioneer shall not provide shipment updates beyond the initial confirmation of dispatch.
(b) The Buyer assumes full responsibility for transit risks, including loss, delay, or non-delivery.
(c) The Auctioneer shall not investigate or follow up on the shipment's whereabouts once it has been dispatched.
(d) The Buyer may not dispute the delivery status based on the lack of tracking information.
7.9. Carrier Delays Due to Unexpected Service Disruptions. The Auctioneer shall not be responsible for shipping delays caused by unforeseen disruptions affecting the selected carrier, including but not limited to:
(a) Carrier strikes or labor actions that begin after the shipping method has been selected.
(b) Weather-related disruptions, natural disasters, or government-imposed restrictions.
(c) Technical failures, cyberattacks, or carrier backlogs.
If a strike or disruption occurs after the Buyer has chosen a shipping method but before dispatch, the Auctioneer shall:
(a) Offer an alternative shipping method, if feasible, at the Buyer’s expense.
(b) Hold the shipment until the carrier resumes service, if requested.
(c) Proceed with dispatch via the originally selected method if the Buyer does not request an alternative.
The Buyer may not request a refund, cancellation, or compensation due to delays resulting from carrier service disruptions after the shipment has been dispatched.
7.10. Responsibility for Customs Duties and Returned Shipments
(a) The Buyer is solely responsible for paying any import duties, taxes, or customs clearance fees required by their country.
(b) If a package is returned due to unpaid customs duties or the Buyer’s failure to collect it:
(i) The Buyer remains liable for the full Purchase Price (including Buyer’s Premium and any applicable fees).
(ii) No refund shall be issued for shipping costs.
(iii) The Buyer must cover reshipping costs if they wish to have the package resent.
(c) If the Buyer does not arrange for reshipping within thirty (30) days of the package’s return, the Auctioneer may:
(i) Charge a storage fee of USD 1 per day until re-shipment is arranged.
(ii) Treat the Lot as abandoned, at which point the Auctioneer may resell, dispose of, or retain the Lot at its discretion without further compensation to the Buyer.
7.11. Auctioneer’s Role in Shipping Issues
(a) The Auctioneer shall not be responsible for any issues arising during shipping, including delays, customs holds, loss, theft, or damage once the Lot has been handed over to the carrier.
(b) The Auctioneer may assist the Buyer in communicating with the shipping carrier or customs authorities where possible but cannot guarantee a resolution.
8. RETURNS AND REFUNDS
8.1. Finality of Sales. All sales are final, and no refunds or returns will be accepted except in the cases listed in 8.4-8.7.
8.2. Instances Where Refunds Will Be Issued (Eligible Refund Requests). Full refunds of the Purchase Price, including the Hammer Price, Buyer’s Premium, and shipping costs, but less any non-recoverable third-party fees, including credit card processing fees, bank transfer charges, and foreign exchange conversion fees, will be granted for inauthentic coins, misrepresented coins, wrong lots received, damage or loss in transit (only if insured), provided that due dates and procedures set out below are observed.
8.3. Instances Where No Refunds Will Be Issued (Ineligible Refund Requests). Refunds will not be granted in the following cases:
(a) Buyer’s Remorse – Refunds will not be issued if the Buyer changes their mind after winning a Lot.
(b) Subjective Grading Disputes – The Auctioneer will not issue refunds for differences in third-party grading opinions.
(c) Customs Refusal / Non-Payment of Taxes and/or Duties – No refund will be issued if the package is returned due to the Buyer’s failure to pay taxes or import duties or provide customs documentation.
(d) Failure to Read Auction Terms – The Buyer is responsible for understanding all fees, shipping costs, and policies before placing a bid.
(e) Damage After Delivery – No refund will be provided for coins that are damaged after delivery.
(f) Lost or Delayed Shipments (Untracked, Uninsured) – If the Buyer selects an untracked or uninsured shipping method, they assume full responsibility for any loss or delay.
8.4. Inauthentic Coins. The Buyer that suspects a Lot to be counterfeit should submit a substantiated Refund Request within 14 days of the Delivery Date, procure and submit a certification from an accepted grading authority within six (6) months of submission of the Refund Request.
8.5. Misrepresented Coins. The Buyer that suspects a Lot to be misrepresented should submit a substantiated Refund Request within 14 days of the Delivery Date complete with photographic proof of the Auction listing and of the misrepresented Lot. Misrepresentation shall be defined as a material discrepancy between the Lot and its description in the Auction listing, arising from an error, omission, or misleading information and substantially affecting the authenticity, identity, or fundamental characteristics of the Lot, thereby impacting its value or classification, as supported by references to authoritative sources.
Misrepresentation does not include:
(a) Grading Subjectivity – Discrepancies in professional grading opinions of independent grading services (e.g., NGC vs. PCGS) or in condition opinions between the Auctioneer and the Buyer.
(b) Photographic Variations – Differences in color, toning, contrast, or lighting due to photography conditions, screen calibration, or natural changes in appearance over time.
(c) Subjective Attributes – Divergence in assessments of eye appeal, strike quality, luster, or other qualitative features that do not constitute an error or misstatement.
(d) Age-Related Characteristics – Natural wear, patina, toning, or minor surface marks consistent with the age and circulation of the Lot.
(e) Omissions of Non-Material Details – Absence of minor or immaterial information that does not affect the fundamental characteristics of the Lot.
8.6. Wrong Lot(s) Received. The Buyer must inspect the Lot immediately upon receipt. Any claims regarding receipt of the wrong Lot complete with photographic or video proof must be submitted within seven (7) days from the Delivery Date. Claims submitted after this period will not be accepted.
The Auctioneer shall examine the Refund Request in respect of inauthentic, misrepresented, or wrong Lots and, within seven (7) days of receipt thereof:
a) advise the Buyer of rejection of the Refund Request due to insufficient evidence or failure to meet the criteria above, in which the Buyer shall have no further recourse against the Auctioneer; or
b) advise the Buyer of approval the Refund Request, in which case the following process applies:
Step 1. The Buyer submits a return request within seven (7) days of approval of the Refund Request via email.
Step 2. The Auctioneer provides details required for the shipping of the Lot within seven (7) days of receipt of the Buyer’s return request.
Step 3. The Buyer ships the lot in its original condition within fourteen (14) days using a tracked shipping method.
Step 4. The Auctioneer inspects the returned Lot within seven (7) days of receipt of such Lot and:
(a) If the Lot is confirmed as returned in its original condition, the refund is issued within seven (7) days of confirmation.
(b) If the item is altered, damaged, or not the original Lot, the refund is denied, and the Lot is sent within seven (7) days of denial back to the Buyer at their expense.
8.7. Damage or Loss in Transit (Only if Insured). If an insured Lot was damaged or lost during shipping, a refund may be issued only if the carrier accepts an insurance claim, which is subject to the Buyer’s following the carrier’s instructions as detailed here:

b) Canada Post: https://www.canadapost-postescanada.ca/cpc/en/support/kb/claims/insurance-coverage.page
Refunds will be issued within seven (7) days after the payout is received by the Auctioneer or will be deemed issued when paid out directly to the Buyer.
8.8. Refunds will be processed as follows:
(a) Bank transfer (SEPA, ACH, SWIFT, Interac) – Refunded less any banking fees.
(b) Credit card (Stripe processing) – Refunded less 3.7% processing fee.
(c) Original shipping costs are non-refundable.
8.9. Verification of Authenticity Claims. If a Buyer believes a Lot is inauthentic, they may choose:
(a) Certification from NGC, PCGS, or an equivalent professional grading service.
(b) Written opinions from two independent numismatists who:
(i) Are members of a recognized numismatic association (ANA, RCNA, BNS, IAPN, etc.).
(ii) Have a minimum of five (5) years of professional experience.
both (a) and (b) deemed an accepted grading authority.
Each expert’s written opinion must include:
(a) A detailed explanation of why the coin is deemed inauthentic.
(b) Reference to standard numismatic literature or verification techniques used.
(c) High-quality images of the examined coin.
(d) Their full name, membership number, and contact details.
The Auctioneer reserves the right to:
(a) Verify the credentials of the numismatists.
(b) Request further evidence if the claim is inconclusive.
(c) Seek third-party verification from NGC/PCGS if necessary.
9. RIGHTS AND OBLIGATIONS OF THE AUCTIONEER AND THE BIDDER
9.1. Auctioneer’s Rights. The Auctioneer reserves the following rights:
(a) Right to Refuse Participation – The Auctioneer may deny registration, Bids, or future participation to any Bidder at its sole discretion, including but not limited to those who fail to comply with payment terms, create an administrative burden, or engage in abusive behavior.
(b) Right to Establish and Modify Auction Terms – The Auctioneer has the discretion to set and adjust starting prices, Buyer’s Premiums, and bidding increments at any time before or during the Auction.
(c) Right to Withdraw Lots – The Auctioneer reserves the right to remove a Lot from the Auction at any time, before or during the Auction, without providing an explanation.
(d) Right to Determine Winning Bids – The Auctioneer has the final authority to resolve Bid conflicts, including priority between pre-bids and live Bids, and any technical delays affecting bid recognition.
(e) Right to Cancel a Sale – The Auctioneer may cancel a winning bid if the Bidder fails to pay, provides false information, or violates Auction terms.
(f) Right to Hold and Resell Unpaid Lots – If a Buyer fails to pay within the prescribed timeframe, the Auctioneer may relist, resell, or retain the Lot, impose late fees, or blacklist the non-paying Buyer.
(g) Right to Set Payment and Shipping Policies – The Auctioneer determines the accepted payment methods, shipping methods, and terms of liability transfer and is under no obligation to accommodate alternative payment or delivery requests.
(h) Right to Charge Processing Fees – The Auctioneer may deduct non-refundable payment processing fees (e.g., 3.7% Stripe processing fee) from refunds where applicable.
(i) Right to Require Deposits for High Spending Limits – The Auctioneer may require a refundable deposit equal to ten percent (10%) of a requested spending limit before allowing a Bidder to exceed the default spending limit.
9.2. Auctioneer’s Obligations. The Auctioneer undertakes the following obligations:
(a) Obligation to Provide Accurate Lot Descriptions – The Auctioneer ensures all Lots are described to the best of its ability.
(b) Obligation to Facilitate Shipping – The Auctioneer shall package and dispatch Lots securely via approved shipping methods.
(c) Obligation to Provide Pre-Sale Assistance – The Auctioneer shall make reasonable efforts to answer questions regarding Lots before Bidding.
(d) Obligation to Honor Approved Refunds – If a refund is granted under the Auctioneer’s Return and Refund Policy, the Auctioneer must process it within the specified timeframe.
(e) Obligation to Maintain Fair Auction Practices – The Auctioneer shall conduct Auctions fairly and transparently.
9.3. Bidder’s Rights. The Bidder retains the following rights:
(a) Right to Receive Purchased Lots – Upon full payment and transfer of the Lots to the carrier, the Buyer obtains ownership of the Lots and assumes all associated risks.
(b) Right to Request a Refund in Specific Cases – The Buyer may request a refund in cases laid down in clauses 8.4-8.7 hereof.
(c) Right to Request a Spending Limit Increase – The Bidder may request a higher spending limit by providing identity verification and a refundable deposit if required.
(d) Right to Choose a Shipping Method – The Buyer may select an available shipping method or provide a shipping label for an alternative method.
(e) Right to Participate in Auctions – A registered and verified Bidder may place Bids within their spending limit, subject to compliance with all Auction terms.
9.4. Bidder’s Obligations. The Bidder is bound by the following obligations:
(a) Obligation to Pay in Full and On Time – The Winning Bidder must pay the full Purchase Price within 14 (fourteen) days of receiving the invoice.
(b) Obligation to Review Lot Descriptions Before Bidding – The Bidder must examine item descriptions and ask questions before placing a Bid.
(c) Obligation to Provide Accurate Information – The Bidder must submit true and accurate identity and payment information.
(d) Obligation to Comply with Customs and Import Laws – The Buyer must handle customs clearance requirements and pay all applicable import duties and fees.
(e) Obligation to Report Issues Within Stated Timeframes – The Buyer must adhere to the deadlines established for reporting specific concerns.
(f) Obligation to Follow the Return and Refund Procedure – If the Buyer requests a refund, they must:
(i) Follow the return shipping instructions provided by the Auctioneer.
(ii) Use a tracked shipping method for returns.
(iii) Ensure that the Lot remains in its original condition.
(iv) Return the Lot within twenty-one (21) days of receiving return approval.
(g) Obligation to Accept the Finality of Auction Sales – All sales are binding and final, except in cases where a refund request is granted under the Return and Refund Policy.
(h) Obligation to Respect the Auctioneer’s Authority – The Auctioneer has the final discretion over bidding disputes, auction results, and bidder eligibility for future participation.
10. FINAL PROVISIONS
10.1. Governing Law and Jurisdiction
(a) These Terms and Conditions, Conditions of Sale, and any disputes arising from or related to participation in the Auction, the sale of Lots, or any transactions conducted through the Auctioneer, shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.
(b) Any legal proceedings, claims, or disputes related to the Auction, including but not limited to bidding, payment, shipping, or returns, shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. The parties expressly waive any right to contest jurisdiction or venue on the basis of inconvenience or any other grounds.
(c) The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to transactions conducted under these Terms and Conditions.
10.2. Dispute Resolution
(a) Before initiating any formal legal action, the parties agree to attempt to resolve any dispute amicably through direct negotiations. The complaining party must provide written notice of the dispute to the other party, outlining the basis of the claim and any proposed resolution.
(b) If the dispute cannot be resolved within thirty (30) days of receiving notice, the parties may proceed with formal legal action in accordance with Section 10.1.
(c) The Auctioneer reserves the right, at its sole discretion, to suspend a Bidder’s participation in future Auctions during an ongoing dispute or legal proceeding.
10.3. Communication and Notices
(a) All official notices, communications, or claims related to the Auction must be submitted in writing via email to the addresses provided by the Auctioneer and the Bidder at the time of registration.
(b) The Auctioneer shall send all communications regarding invoices, shipping, returns, and other matters to the email address registered by the Bidder. It is the Bidder’s responsibility to ensure that their contact information remains accurate and up to date.
(c) Notices sent via email shall be deemed received:
(i) On the same day if sent before 5:00 PM Eastern Time (ET) on a business day.
(ii) On the next business day if sent after 5:00 PM Eastern Time (ET) or on a non-business day.
(d) The Auctioneer is not responsible for any consequences resulting from a Bidder’s failure to check their email or respond in a timely manner.
10.4. Force Majeure
(a) The Auctioneer shall not be liable for any failure to perform its obligations under these Terms and Conditions due to events beyond its reasonable control, including but not limited to:
(i) Natural disasters such as earthquakes, floods, or extreme weather conditions.
(ii) Acts of war, terrorism, or civil unrest.
(iii) Government-imposed restrictions, sanctions, or embargoes.
(iv) Labor strikes, industrial disputes, or supply chain disruptions affecting logistics.
(v) Technical failures, cyberattacks, or interruptions in communication networks.
(b) In the event of a force majeure occurrence, the Auctioneer shall notify affected parties as soon as reasonably possible and shall resume its obligations once the disruptive event has ceased.
10.5. Modifications and Amendments
(a) The Auctioneer reserves the right to modify, amend, or update these Terms and Conditions at any time. Any changes shall take effect immediately upon publication on the Auctioneer’s website or Auction Platform.
(b) The Bidder’s continued participation in Auctions after the publication of the revised Terms and Conditions and/or the Conditions of Sale constitutes acceptance of the modifications.
(c) If a material change significantly affects the Bidder’s rights or obligations, the Auctioneer shall notify registered Bidders via email at least seven (7) days prior to the change taking effect.
10.6. Severability
(a) If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
(b) The invalid, illegal, or unenforceable provision shall be replaced with a valid provision that most closely aligns with the intent of the original provision.
10.7. Waiver of Rights
(a) No failure or delay by the Auctioneer in exercising any right, remedy, or power under these Terms and Conditions and/or the Conditions of Sale shall constitute a waiver of such right, remedy, or power.
(b) Any waiver of rights must be made in writing and signed by an authorized representative of the Auctioneer.
10.8. Entire Agreement
(a) These Terms and Conditions and the Conditions of Sale, together with any additional policies referenced herein, constitute the entire agreement between the Auctioneer and the Bidder, superseding any prior understandings, agreements, or representations.
(b) No oral or written statements made by either party before, during, or after the Auction shall modify or alter these Terms unless expressly agreed upon in writing.
10.9. Third-Party Rights
(a) These Terms and Conditions do not create any rights enforceable by any third party.
(b) No third party shall have any right to enforce or rely on any provision of these Terms and Conditions and/or the Conditions of Sale under any applicable third-party rights legislation or doctrine.
(c) The Auctioneer and the Bidder retain the exclusive right to amend, modify, or terminate these Terms and Conditions and/or the Conditions of Sale without the consent or approval of any third party.
10.10. Limitation of Liability
(a) To the fullest extent permitted by law, the Auctioneer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of business opportunities, reputational harm, or any financial losses incurred as a result of participation in the Auction.
(b) The Auctioneer’s total liability shall under no circumstances exceed the amount actually paid by the Buyer for the specific Lot(s) in dispute, excluding any shipping, handling, or insurance costs.
(c) The Auctioneer shall not be liable for any errors, omissions, or disruptions caused by technical issues, software malfunctions, or external factors beyond its control.
(d) The Bidder acknowledges that participation in the Auction carries inherent risks, including potential discrepancies in coin grading, shipping delays, customs clearance issues, and market fluctuations. The Bidder assumes full responsibility for these risks.
